An exciting opportunity to join us as a Corporate Finance Manager to drive corporate finance initiatives and M&A activities by leading due diligence, financial modelling, and governance processes that support business growth, maximise shareholder value, and ensure seamless integration of acquisitions.

Thungela Resources [Thungela means "to ignite" in isiZulu] is a leading South African thermal coal business, focused exclusively on thermal coal production. It is one of the largest pure‑play producers and exporters of thermal coal in South Africa based on aggregate coal reserves and marketable coal production. Thungela focuses on exporting its thermal coal portfolio mainly to the Indian, Asian, Southeast Asian, Middle East and North African markets.

Job Description

As the Corporate Finance Manager, you will collaboratively lead comprehensive financial due diligence for M&A and investment activities.

More of your responsibilities will include:
  • Direct end‑to‑end financial due diligence for potential acquisitions, assessing financial health, sustainability, and value creation opportunities.
  • Analyse financial statements, forecasts, and operational performance to identify key value drivers, synergies, and risks impacting transaction outcomes.
  • Develop and maintain detailed financial models, including accretion/dilution, synergy, and scenario analyses, to evaluate deal impacts.
  • Provide financial expertise and insights during negotiations, deal structuring, and integration planning to optimise transaction value.
  • Assess economic viability, market potential, and technology adoption risks to inform M&A and investment decisions.
  • Maintain strict compliance with internal governance standards, regulatory requirements, and industry best practices throughout all due diligence activities.
  • Collaborate with corporate development, legal, tax, and operational teams to integrate findings into deal strategy, valuation, and execution.
  • Implement governance frameworks that integrate techno‑economic considerations into investment decision‑making.
  • Maintain robust financial governance and compliance by overseeing regulatory adherence, developing accurate reporting processes, and building financial models to support strategic decision‑making.
  • Drive strategic financial planning by contributing to governance frameworks, risk management practices, and capital allocation decisions that support business growth and long‑term value creation.
  • Manage client engagements, drive business development, and strengthen stakeholder relationships.
  • Facilitate cross‑departmental collaboration and enhance organisational communication.
Qualifications
  • Bachelor's degree in Finance, Accounting, or related discipline (NQF Level 7).
  • Post‑graduate qualification in Finance, Economics, or related discipline (NQF Level 8).
  • Professional Registration as CA (SA) – Advantageous.
  • CFA – Advantageous.
Experience
  • Minimum 8 years' experience in Corporate Finance Environment within the mining industry.
  • Proven experience leading financial due diligence for M&A and investment activities, including valuation modelling and risk assessment.
  • Proven ability to manage stakeholder engagements, drive business development, and collaborate cross‑functionally to align financial insights with organisational strategy is essential.

  • Advanced financial governance capabilities, with a deep understanding of regulatory compliance, reporting standards, and strategic financial planning.

  • Advanced understanding of the mining industry and value chain.
  • Advanced knowledge of corporate governance and risk management.
