Placements24 is assisting a prestigious Stellenbosch law firm in Western Cape to appoint an Associate Commercial Attorney. You will support corporate and commercial matters for a diverse client base, from startups to established enterprises, in a hybrid in-office and remote work environment.

Key duties include advising on formations, M&A, agreements, due diligence and corporate governance, plus regulatory compliance and client relationship management.

Formación

• Admitted attorney with 4+ years PQE in corporate and commercial law.
• Strong drafting, analytical and negotiation skills.
• Experience with M&A, financing and corporate governance.

Responsabilidades

• Advise clients on commercial law matters including formations, M&A, and disposals.
• Draft, review, and negotiate commercial agreements, JV and shareholder agreements.
• Provide support for corporate finance transactions and capital raising.
• Perform due diligence investigations for corporate transactions.
• Assist in formation and governance of companies and entities.
• Advise on regulatory compliance across industries.
• Manage client relationships and deliver practical legal solutions.
• Collaborate with firm colleagues to deliver integrated services.

Key Responsibilities

• Advise clients on a wide range of commercial law matters, including company formations, mergers, acquisitions, and disposals.
• Draft, review, and negotiate commercial agreements, joint venture agreements, and shareholder agreements.
• Provide legal support for corporate finance transactions and capital raising initiatives.
• Conduct due diligence investigations for corporate transactions.
• Assist in the formation and governance of companies and other business entities.
• Advise on regulatory compliance pertinent to various industries.
• Manage client relationships and provide timely, practical legal solutions.
• Collaborate with other legal professionals within the firm to deliver integrated services.

Requirements

• Admitted Attorney with a minimum of 4 years' post-qualification experience in corporate and commercial law.
• Strong understanding of company law, contract law, and related commercial legislation.
• Demonstrated experience in transactional work, including M&A and corporate finance.
• Excellent drafting, analytical, and negotiation skills.
• Ability to manage multiple projects and meet tight deadlines.
• Strong client-facing and communication skills.
• Proactive, diligent, and a team player.
• Familiarity with the business landscape in Stellenbosch, Western Cape is an advantage.
• Comfortable and effective working in a hybrid remote/office setting.
