Key responsibilities
Governance
- Support the development, implementation and maintenance of corporate governance framework.
- Monitor regulatory developments and advise the Board and management on governance implications.
- Assist the Company Secretary in preparing for governance disclosures for the Annual Report.
- Maintain governance policies, frameworks and charters. Ensure all policy manuals are review as per requirements, updated and approved by the Board and/or Executive Committee whichever is applicable.
- Create or manage the creation of new policy manuals with the various functions within the Bank and ensure they meet local Regulatory and Group requirements.
- Maintain and monitor the annual governance calendar, ensuring compliance with all Board, Committee, shareholder and regulatory obligations.
- Coordinate periodic Board, Committee and Director effectiveness assessments.
- Support the implementation of governance best practices in line with King IV, Companies Act, Banks Act, Prudential Authority requirements and Group governance standards.
Board, Committee and Shareholder Support
- Manage the end-to-end Board meeting cycle, including scheduling meetings, preparing annual workplans, compiling Board packs and maintaining Board portals.
- Ensure Board papers meet governance standards and are submitted within agreed timelines.
- Coordinate induction programmes for new directors, ongoing professional development and mandatory governance training.
- Maintain Director declarations, independence assessments and fit-and-proper documentation.
- Support Board succession planning and appointment processes.
- Attend Board, Board Committee and management committee meetings.
- Ensure all board resolutions and minutes are signed, filed or pasted in minute book.
- Provide the Board as a whole and individual directors with detailed guidance on to how their responsibilities must be properly discharged.
- Assist in planning and coordinating the Annual General meeting (AGM)
Statutory compliance
- Ensure the Bank is compliant with statutory filing requirements with CIPC, FSCA and other regulatory bodies.
- Maintain statutory registers and records including Directors, Prescribed Officers, Shareholder, Board Committees.
- Prepare and lodge annual returns and other statutory submissions.
- Maintain a compliance tracker for statutory filings and governance obligations.
- Oversee governance requirements relating to prescribed officers and key persons.
Risk, Ethics and Compliance
- Support the Board in overseeing ethics and compliance programmes.
- Assist with governance aspects of risk management processes.
- Maintain registers relating to conflict of interest and declarations.
- Support the Social, Ethics and Conduct Committee in fulfilling its statutory duties.
Requirements
Minimum
Bachelor's Degree in Law, Corporate Governance, Commerce, Business Administration or a related field.
Preferred
Chartered Governance Professional (CGISA/CGI) qualification or progress towards qualification.
Experience
5 -8 years' company secretarial or corporate governance experience.
Experience supporting Boards and Board Committees within a bank, financial services institution or listed company.
Sound knowledge of the Companies Act, Banks Act, Prudential Authority requirements, FSCA regulations and King IV principles.
Experience drafting Board and Committee minutes and resolutions.
