Job summary

Valmont Group in Omaha, NE seeks a seasoned Vice President, Segment General Counsel & Assistant Corporate Secretary to serve as the senior legal advisor to the business segment. You will provide strategic, risk-balanced guidance that supports growth, governance, and regulatory compliance while partnering with segment leadership and the Corporate Secretary.

Qualifications

• Juris Doctor (JD) from an accredited law school.
• Licensed and in good standing in at least one US jurisdiction.
• 12+ years of corporate, transactional, or business law experience.
• Experience leading mergers, acquisitions, divestitures, and strategic transactions.
• Experience negotiating complex commercial agreements in manufacturing/industrial settings.
• Knowledge of public company governance, SEC reporting, Section 16, and NYSE standards.
• Experience managing outside counsel and budgets.
• Strong business judgment and balance of risk with business objectives.
• Excellent communication and negotiation skills.

Responsibilities

• Serve as chief legal advisor to segment leadership on strategic, commercial, operational, and regulatory matters.
• Lead negotiation, drafting, review, and approval of complex commercial agreements.
• Provide legal leadership for acquisitions, divestitures, joint ventures, strategic investments, and other significant business transactions.
• Lead legal due diligence, transaction documentation, closing activities, and post-acquisition integration support.
• Manage outside counsel engagement, performance, budgets, and legal service delivery.
• Support Board and committee governance processes, including agendas, resolutions, minutes, governance materials, and annual governance activities.
• Oversee subsidiary governance activities, corporate records, and entity management requirements.
• Partner with Corporate Development, Finance, Treasury, Tax, Investor Relations, HR, Compliance, and Internal Audit on strategic initiatives.
• Deliver legal guidance and risk-management training to business stakeholders.
• Support director onboarding and governance education programs.
