Job summary
iCapital is seeking an Assistant Vice President or Vice President Fund Attorney to join the Funds Legal team, focusing on U.S. and Cayman private funds. The role covers regulatory matters, fund formation and structuring, capital raising, and transactional work.
The ideal candidate has 4+ years of fund formation experience, strong knowledge of key acts, and experience drafting fund documents. Office-based with some flexibility; competitive compensation includes salary, equity, and bonus.
Qualifications
- 4+ years of fund formation experience within the Investment Management space.
- Strong knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and FINRA regulations.
- Bar admission in Utah or another state/jurisdiction.
Responsibilities
- Negotiate with counterparties including fund managers and distribution agents.
- Draft and review private fund offering materials, partnership agreements, and other private fund documents.
- Advise on regulatory implications of new and existing products and services.
- Coordinate outside counsel on regulatory, corporate and fund investment matters.
- Draft and review contracts, NDAs, and other legal documentation.
- Assist with regulatory filings and related research.
