The firm’s Private Wealth business is a significant and rapidly growing part of the organization, providing eligible individual investors with access to alternative investment strategies. The Private Wealth Public Funds Legal team supports the development and ongoing management of registered funds and other investment vehicles offered through private wealth channels.
The Opportunity
Our client is seeking a Private Wealth Funds Attorney at the Vice President level to join its growing Legal & Compliance team. This attorney will focus primarily on registered funds, BDCs, and other vehicles within the firm's Private Wealth platform.
The role will provide broad exposure to fund structuring, product development, regulatory matters, governance, and ongoing legal support. The attorney will work closely with investment professionals, senior management, operations, finance, tax, compliance, and other internal stakeholders across the organization.

Key Responsibilities
- Serve as a key legal partner in the design and development of private wealth funds from initial concept through launch and ongoing operations.
- Advise on the structuring, launch, and ongoing management of registered funds, including interval funds, closed-end funds, BDCs, and other private wealth vehicles.
- Provide legal advice regarding the Investment Company Act of 1940 and other applicable securities laws and regulations.
- Support fund formation, product development, and strategic initiatives across multiple investment structures and jurisdictions.
- Partner with senior leadership and business teams on new products, evolving fund structures, and the continued expansion of the Private Wealth platform.
- Translate complex legal and regulatory requirements into practical guidance for investment professionals and senior management.
- Prepare and manage registered-fund board materials and support related board meetings.
- Manage regulatory and registered-fund filings, including 8-K, 10-Q, 10-K, N-2, N-CSR, registration statements, prospectus updates, and related filings.
- Advise on ongoing legal, regulatory, governance, and operational matters affecting existing and newly launched funds.
- Provide legal support for marketing, investor communications, and fundraising materials.
- Work with internal Legal & Compliance teams and external counsel to monitor and implement relevant legal and regulatory developments.
- Help develop and improve legal processes, standards, and infrastructure as the platform continues to grow.
Qualifications
- 6+ years of legal experience at a law firm or in-house, with a focus on registered funds and/or investment management law preferred.
- Strong knowledge of the Investment Company Act of 1940 and applicable securities laws.
- Capital markets, securities, or public-company experience may also be relevant.
- Experience with BDCs, interval funds, closed-end funds, or other registered investment products is strongly preferred.
- Experience with registered-fund or public-company filings is preferred.
- Exposure to ERISA, retirement assets, private funds, or private wealth products is a plus.
- Strong analytical and communication skills with the ability to provide practical legal guidance to business stakeholders.
- Highly proactive, collaborative, and hands-on, with the ability to manage multiple priorities in a fast-paced environment.
- Strong judgment and relationship-building skills with the ability to work effectively with senior stakeholders.
