Job summary

Rockwood Search is seeking an experienced Fund Attorney to join its legal team in New York. The role focuses on U.S. and Cayman private funds, involving fund formation, materials, LPAs, side letters, and regulatory matters.

You will manage regulatory filings and work with outside counsel. Ideal candidates have 4+ years in investment management or fund formation, strong private funds experience, and a U.S. bar admission.

Qualifications

• 4+ years in investment management or fund formation
• Strong private funds and alternative investments experience
• Hands-on drafting and negotiation of fund documents and side letters
• Understanding of Regulation D, the Investment Company Act, the Advisers Act, the Securities Act, the Exchange Act, and FINRA rules
• U.S. bar admission
• Law firm or in-house asset management experience

We’re working with a leading alternative investment and financial technology platform seeking an experienced Fund Attorney to join its growing legal team.

The role will focus on U.S. and Cayman private funds, including open-end and closed-end structures, with exposure across:

• Fund formation and structuring
• Private placement memoranda and offering materials
• LPAs and side letters
• Placement and distribution agreements
• Capital raising and investor-related matters
• U.S. and international regulatory issues
• Regulatory filings and outside counsel management

Ideal background:

• 4+ years of investment management / fund formation experience
• Strong private funds and alternative investments experience
• Hands‑on drafting and negotiation of fund documents and side letters
• Strong understanding of Regulation D, the Investment Company Act, Investment Advisers Act, Securities Act, Exchange Act, and applicable FINRA rules
• U.S. bar admission
• Law firm and/or in‑house asset management experience
