VP Corporate Development

Bell & Associates has been engaged to help our client recruit their next VP of Corporate Development. Our client is led by a seasoned executive team with deep expertise in private equity-backed, buy-and-build operating models. They are uniquely positioned to support both organic and acquisitive growth strategies. The leadership team brings a track record of scaling multi-site businesses while maintaining operational excellence and hyper local strong community relationships.
Our client is seeking a strategic and analytical Vice President of Corporate Development to lead the company’s growth strategy through mergers and acquisitions (M&A), organic growth, and strategic planning. Reporting directly to the President and Chief Executive Officer and working closely with the CFO and other executive leaders, this individual will drive the company’s expansion through platform and add-on acquisitions, RFP growth, and key strategic initiatives. This role requires a high-performing, low-ego leader with a strong background in investment banking, private equity, deal advisory or corporate development. The VP will oversee deal sourcing, due diligence, modeling, and transaction execution, while building relationships with potential acquisition targets and supporting organic growth and capital planning efforts.
Responsibilities
- Mergers & Acquisitions – Lead end-to-end M&A execution including sourcing, evaluating, negotiating, and closing transactions.
- Build and maintain a pipeline of acquisition opportunities across key student transportation markets.
- Engage directly with potential sellers and communicate the company’s value proposition effectively.
- Negotiate and structure NDAs and LOIs with creative terms that yield win-win outcomes.
- Prepare and/or oversee financial modeling and underwriting of acquisition targets.
- Lead the review of seller records and diligence materials for development of due diligence reports and investment committee materials.
- Coordinate with functional teams to assess diligence and execute integration plans and synergy realization relevant and specific to each seller’s business.
- Collaborate with OpCo leaders to ensure pre-close engagement & alignment and post-close execution of integration.
- Track and report M&A pipeline progress, leveraging tools such as Salesforce and internal dashboards.
- Organic Growth & Strategy – Partner with the executive and OpCo leadership teams on strategic planning and the execution of organic growth initiatives.
- Analyze opportunities to support expansion through RFP wins.
- Support OpCo leadership and business development teams for the sourcing, development, and submission of RFP responses in target markets.
- Establish and maintain KPIs to measure the performance of M&A and organic growth strategies.
- Collaborate with the CFO on capital structure optimization and growth-related financial planning.
- Prepare and present materials for the Board of Directors and senior stakeholders.
- Provide insight into strategic initiatives and serve as a thought partner to senior leadership.
- Drive special projects and high-priority cross-functional initiatives across the business.
- Team Development – Lead and mentor growth and Corporate Development team members by providing performance and work product review and coaching.
- Hire, train and develop new team members as the organization scales and grows.
- Coach and mentor OpCo leaders related to organic and inorganic opportunity identification, development, closure and integration.
Requirements
- Bachelor’s degree in Finance, Business, Economics, or related field (MBA preferred).
- 7–10+ years of experience in corporate development, investment banking, private equity, or M&A.
- Experience in a multi-site, private equity-backed or rapidly scaling business.
- Demonstrated success leading full-cycle M&A transactions and strategic initiatives.
- Proficiency in PowerPoint and Excel with the ability to independently produce accurate, polished presentations and analyses.
- Deep understanding of capital structure, leveraged finance, and financial modeling (including development, creation and use of DCF and LBO models).
- Exceptional interpersonal and communication skills; able to distill and present complex ideas clearly.
- Strong project management skills and ability to drive multiple workstreams in a fast-paced environment.
- Highly analytical, self-motivated, and solutions-oriented with sound judgment.
- High levels of intellectual curiosity and desire for learning.
- Willingness and ability to travel as needed to support business unit and acquisition activities.
- Eligibility to work in the U.S. without current or future sponsorship.
- Ability to work autonomously while effectively collaborating with diverse stakeholders.
- Demonstrated emotional intelligence and the ability to build lasting internal and external relationships.
