Marina Sirras & Associates LLC is seeking a mid-level corporate associate to join its venture capital and emerging companies practice. The role involves structuring new ventures, governance advisory, and leading financing document drafting for early-stage and growth rounds.

You will collaborate with M&A, tax, and compensation teams to support startups through growth and pre-IPO planning. Openings are across major U.S.

Qualifications

• Must be authorized to work in the United States.
• 3–5 years of law firm experience in venture capital and emerging companies work.
• Hands-on experience with venture financings on behalf of both companies and investors.
• Working knowledge of standard venture deal documents and terms.
• Experience with Delaware corporate matters, startup equity plans, and private company governance is a strong plus.
• J.D. from an accredited U.S. law school with strong academic credentials.
• Admitted (or able to be promptly admitted) to the bar in the office location.

Responsabilités

• Help clients set up and structure new companies.
• Advise on governance and equity incentive matters.
• Lead drafting and negotiation of financing documents for priced rounds, SAFEs and convertible notes.
• Partner with M&A, capital markets, tax and compensation groups to support scaling businesses.
