Job summary

Greenberg Traurig, LLP, a global law firm, seeks a mid-level corporate associate (3–5 years) to join the Venture Capital practice in Boston or New York. The attorney will handle transactional work for venture capital investors and growth companies, drafting and negotiating deal documents and managing diligence.

Ideal candidates have AMLaw50 experience, strong academic credentials, and a track record of client relationships.

Qualifications

• Substantive corporate transactional experience on both company side and investor side of venture capital transactions.
• Experience drafting and negotiating primary deal documents; managing diligence; maintaining client relationships.

Responsibilities

• Draft and negotiate transaction documents for Seed through late-stage VC financings (term sheets, SAFEs, convertible notes, preferred stock purchase agreements).
• Advise venture-backed companies on formation, governance, securities issuances, and capitalization matters.
• Represent venture capital funds and institutional investors in new investments and follow-on rounds.
