Novartis Services, Inc. is seeking a Corporate Counsel to advise on U.S. securities law, public-company disclosures, and capital markets matters in a fast-paced environment. You will partner with Finance, Treasury, Investor Relations and Legal across the U.S. and globally.

The role emphasizes governance, intercompany financing, M&A support and strategic transactions, with opportunities to leverage AI tools responsibly while ensuring confidentiality and strong due diligence.

Qualifications

• J.D. from an accredited U.S. law school.
• Admitted in at least one U.S. jurisdiction.
• 3+ years of relevant legal experience.
• Strong knowledge of U.S. securities laws and public-company disclosure.
• Experience with debt or equity capital markets transactions.
• Working knowledge of Delaware and/or New York corporate law.
• Ability to use AI-enabled tools responsibly.

Responsabilités

• Advise on compliance with U.S. securities laws and SEC requirements including Form 20-F.
• Advise on disclosures, SEC filings and investor communications.
• Provide counsel on U.S. debt and equity capital markets transactions.
• Advise on intercompany financing arrangements and treasury activities.
• Support governance and entity management of U.S. entities including board matters.
• Assist mergers and acquisitions and strategic transactions.
• Advise on disclosures relating to internal/external communications.
• Draft and update governance policies and materials.
• Monitor developments in securities and corporate law and translate into guidance.
• Develop and deliver training on governance matters.
• Leverage AI and legal tech with proper safeguards.
