Novartis Group of Companies seeks a Corporate Legal Counsel to provide practical, business‑oriented advice on U.S. securities law, public disclosures, capital markets, governance and strategic transactions. You will partner with Finance, Investor Relations, and Legal in the U.S.

and globally to advise on complex matters for a global public company. The role emphasizes collaboration with senior stakeholders, governance oversight for U.S.

Formación

• J.D. from an accredited U.S. law school.
• Admission in good standing in at least one U.S. jurisdiction, with ability to become authorized to practice in New Jersey under an in-house license.
• 3+ years of relevant legal experience at a law firm, public company, or comparable organization.
• Strong knowledge of U.S. securities laws and public-company disclosure requirements.
• Experience with debt or equity capital markets transactions and other strategic transactions.
• Working knowledge of Delaware and/or New York corporate law.
• Strong drafting, research, analytical, and problem-solving skills.
• Interest in and ability to use AI-enabled tools with responsible use.

Responsabilidades

• Advise on compliance with U.S. securities laws and SEC requirements, including Form 20-F.
• Advise on disclosures, filings, and investor communications.
• Provide counsel on capital markets transactions and related disclosures.
• Advise on intercompany financing, derivatives, and Treasury activities.
• Support governance and entity management for U.S. entities.
