Job summary

Select TMS, a major renewable energy platform in the United States, seeks a transactional attorney to support complex commercial transactions spanning development, financing, construction and operations. Qualifications

• JD from an accredited law school.
• Admission to practice in at least one U.S. jurisdiction.
• Approximately 4+ years of transactional legal experience in: a leading law firm, an IPP, renewable energy developer, infrastructure platform, private equity portfolio company, or utility.
• Experience negotiating complex commercial agreements.
• Renewable energy, infrastructure, project finance or construction experience is highly desirable.
• Excellent drafting, negotiation and communication skills.
• Strong commercial judgement and ability to operate in a fast-paced environment.

Responsibilities

• Draft, review and negotiate a broad range of commercial agreements supporting utility-scale solar and battery energy storage projects.
• Advise project development teams throughout the development lifecycle.
• Provide practical legal advice on commercial strategy, contractual risk and transaction structuring.
• Support acquisitions, divestitures and strategic project transactions.
• Assist with due diligence exercises across development and operating assets.
• Coordinate transaction execution alongside internal stakeholders and external counsel.
• Manage legal workstreams from initial negotiation through financial close.
• Draft and negotiate agreements including: Site control agreements, purchase and sale agreements, EPC agreements, equipment supply agreements, O&M agreements, interconnection agreements, NDAs, LOIs, development agreements and commercial services agreements.

Our client is one of the largest owners, operators and developers of renewable energy infrastructure in the United States. With approximately 13 GW of renewable energy projects, they are at the forefront of the energy transition, developing and financing utility-scale solar and battery storage projects across North America. As the business continues to expand, they are seeking a Transactional Attorney to support the legal execution of complex renewable energy transactions across its growing portfolio.

The Opportunity

This is an outstanding opportunity to join a highly regarded in-house legal team supporting one of the most active renewable energy platforms in the United States. Working closely with Development, Commercial, Finance, Capital Markets and Executive Leadership, you will advise on a broad range of commercial and project development transactions from early-stage development through financing, construction and operations.

The role offers significant exposure to sophisticated renewable energy transactions while providing the opportunity to work alongside experienced industry leaders on some of the largest clean energy projects in North America.

Key Responsibilities

• Draft, review and negotiate a broad range of commercial agreements supporting utility-scale solar and battery energy storage projects.
• Advise project development teams throughout the development lifecycle.
• Provide practical legal advice on commercial strategy, contractual risk and transaction structuring.
• Support acquisitions, divestitures and strategic project transactions.
• Assist with due diligence exercises across development and operating assets.
• Coordinate transaction execution alongside internal stakeholders and external counsel.
• Manage legal workstreams from initial negotiation through financial close.
• Draft and negotiate agreements including: Site control agreements, purchase and sale agreements, EPC agreements, equipment supply agreements, Operation & Maintenance (O&M) agreements, interconnection agreements, non-disclosure agreements, letters of intent, development agreements and commercial services agreements.
• Partner closely with Development, Engineering, Capital Markets, Finance and Asset Management teams.
• Provide commercially focused legal advice balancing legal risk with business objectives.
• Manage external legal counsel where appropriate.
• Assist with internal governance and corporate legal matters as required.
• Identify legal and commercial risks across transactions.
• Develop practical solutions that facilitate project execution.
• Ensure compliance with applicable contractual and regulatory requirements.

Candidate Profile

The successful candidate is likely to possess:

• Juris Doctor (JD) from an accredited law school.
