Job summary

Select TMS is seeking an experienced Offtake / PPA Attorney to join its legal team, serving as lead advisor on power marketing and long-term revenue contracts for utility-scale solar, storage, and renewable projects.

The successful candidate will negotiate PPAs, support project development, advise on market regulations, and collaborate with origination, finance, and leadership to craft commercially practical solutions.

Qualifications

  • JD from an accredited law school.
  • Active membership in at least one U.S. State Bar.
  • 5–10+ years of legal experience in a leading law firm, renewable energy developer, IPP or utility.

Responsibilities

  • Lead the drafting, negotiation and execution of PPAs across solar, storage, and hybrid projects.
  • Negotiate a broad range of offtake arrangements with utilities, corporates, and other counterparties.
  • Advise development teams to ensure offtake agreements are financeable and meet lender requirements.
  • Support acquisitions/divestitures where offtake assets are central to value.
  • Advise on electricity market regulations and procurement structures.
  • Collaborate with internal teams and external counsel on complex transactions.

Job description

Our client is a rapidly growing independent power producer (IPP) developing, financing, constructing and operating utility-scale solar, battery energy storage and renewable energy assets across North America and international markets.

As the company continues to expand its development portfolio, they are seeking an experienced Offtake / PPA Attorney to join their growing legal team. Reporting to the General Counsel, this individual will serve as the lead legal advisor on power marketing and commercial transactions, supporting the negotiation and execution of long-term revenue contracts that underpin the financing and development of utility-scale renewable energy projects.

Key Responsibilities
PPAs & Offtake
  • Lead the drafting, negotiation and execution of PPAs across utility-scale solar, battery storage and hybrid projects, providing commercially focused legal advice throughout.
  • Negotiate a broad range of offtake arrangements, including utility and corporate PPAs, VPPAs, Energy Services Agreements, REC agreements, capacity agreements and storage tolling agreements.
Commercial Transactions
  • Partner with Origination, Commercial, Development and Executive Leadership to structure innovative revenue solutions and support negotiations with utilities, corporate offtakers, energy marketers and strategic counterparties.
  • Draft and negotiate LOIs, term sheets, NDAs and related commercial documentation, identifying legal risks and developing commercially practical solutions.
Project Development Support
  • Advise development teams throughout the project lifecycle to keep projects commercially attractive and financeable, ensuring offtake agreements satisfy lender and investor requirements.
  • Support acquisitions and divestitures where offtake arrangements are a key component of transaction value.
Market & Regulatory Advisory
  • Advise on evolving electricity market regulations, wholesale power markets, renewable energy policy, and RTO/ISO, utility procurement and corporate procurement structures.
Collaboration & Legal Operations
  • Work closely with Development, Finance, Capital Markets, Origination and Asset Management; coordinate external counsel on complex transactions.
  • Develop contract templates, negotiation playbooks and legal best practices; support executive leadership on strategic commercial initiatives.
Candidate Profile

The successful candidate is likely to possess:

  • Juris Doctor (JD) from an accredited law school.
  • Active membership in at least one U.S. State Bar.
  • Approximately 5-10+ years of legal experience gained within a leading law firm, renewable energy developer, IPP or utility.
  • Significant experience negotiating complex commercial energy agreements.
  • Strong understanding of renewable energy project development and electricity markets.
  • Excellent drafting, negotiation and stakeholder management skills.
  • Commercially minded with the ability to deliver practical, business-focused legal advice.
