Position Title: Transaction Attorney

Location: New York (Remote)

About the Role:

Our client is seeking a driven Associate Attorney with transactional experience in venture debt, mergers & acquisitions, or corporate financing. In this role, you will work closely with senior partners on deal structuring, due diligence, and documentation for early-stage investments, debt financings, and M&A transactions.

Key Responsibilities:

• Perform due diligence and draft/ negotiate definitive agreements for venture debt and equity financings, M&A, and related transactions
• Assist clients with structuring and closing debt facilities, including credit agreements, security documents, and intercreditor arrangements
• Collaborate with cross-functional teams (tax, IP, compliance) to identify and address legal risks in financing and acquisition deals
• Research and advise on regulatory and corporate governance issues impacting transactions
• Manage multiple matters under tight deadlines and communicate status updates to clients and senior attorneys

Qualifications:

• JD from an accredited law school and admission to the New York bar
• 2–5 years of experience in venture debt, M&A, private equity, or corporate finance transactions at a law firm or in-house
• Strong drafting, negotiation, and analytical skills; comfortable working directly with founders, lenders, and investors
• Ability to prioritize tasks, work independently, and thrive in a collaborative team environment
• Excellent written and verbal communication skills
