Job summary

Hodgson Russ LLP, a leading AmLaw 200 firm, is seeking a junior to mid-level Corporate Technology Associate for its Buffalo office. The role focuses on technology-driven corporate transactions within the Corporate & Securities group, requiring 1–3 years of related experience and a strong interest in technology.

You will draft, review, and negotiate software, SaaS, licensing, and data privacy agreements, and support multiple clients in a fast-paced environment.

Qualifications

• Interest in technology-driven corporate transactions and services.
• Experience with mergers and acquisitions, commercial agreements, governance.
• Familiarity with data privacy, privacy notices, and regulatory requirements.

Responsibilities

• Assist in corporate and technology-focused transactions, including software and licensing agreements.
• Draft and review corporate documents (formation docs, bylaws, operating agreements, MA agreements).
• Conduct tech and data privacy due diligence in M&A teams.
• Evaluate compliance of policies and data practices with laws and standards.
• Perform legal research on corporate, tech, and regulatory matters.
• Coordinate with clients, opposing counsel, and internal teams under supervision.
• Participate in client meetings and contribute to BD efforts.
