Job summary

You will draft and review corporate documents, perform tech and data privacy due diligence, and collaborate with clients and counsel under supervision of senior attorneys. Strong communication and client service are essential.

Qualifications

• Interest in technology-driven corporate transactions.
• Experience with mergers and acquisitions and corporate governance.
• Understanding of SaaS and cloud service agreements, IP licensing, data privacy and protection regulations (GDPR, CCPA, state laws), AI.
• Familiarity with entity formation and ongoing corporate compliance.
• Ability to support multiple clients, matters, and deadlines in a fast-paced environment.

Responsibilities

• Assist team in technology-focused corporate and commercial law matters, including software and licensing, SaaS, cloud agreements, subscription agreements, professional services contracts, market data agreements, website terms, and tech-focused M&A.
• Draft and review corporate documents: formation documents, bylaws, board resolutions, operating agreements, shareholder agreements, M&A agreements, technology contracts, privacy notices, and data protection agreements.
• Conduct tech and data privacy due diligence in M&A.
• Evaluate compliance of corporate policies, tech operations, and data handling with laws and standards.
• Perform legal research on corporate, technology, and regulatory matters.
• Coordinate with clients, opposing counsel, and internal teams under supervision of senior attorneys.
• Participate in client meetings and contribute to business development.
