Jobtailor’s client, a leading financial institution, seeks a senior executive compensation leader to design and govern compensation programs for executives. You will advise the EVP of Human Resources and lead the preparation and delivery of Compensation Committee materials.
This role requires deep expertise in executive compensation governance, SEC disclosures, 409A, and collaboration with external consultants on market data and plan design.
• Design, govern, and execute the Bank’s compensation programs, including Executive Compensation
• Advise the EVP, Human Resources and leadership on compensation matters
• Serve as primary partner to the EVP, Human Resources in advising the Human Capital and Compensation Committee
• Lead development, preparation, and delivery of Compensation Committee materials, including analyses, recommendations, and meeting agendas
• Provide guidance on executive compensation decisions, including base salary, annual incentives, long-term incentives, and equity awards
• Advise on regulatory, reputational, and shareholder risks related to compensation decisions
• Manage and execute the annual governance calendar for executive compensation and committee activities
• Partner with external compensation consultants on market data, benchmarking, and plan design
• Oversee executive compensation disclosures, including CD&A and proxy statement content
• Monitor compensation policies, guidelines, and procedures and recommend revisions or new plans
• Lead strategy for executive, short-term incentive, long-term incentive, commission, exempt, and nonexempt cash compensation programs
• Ensure processing, recording, and reporting of compensation-related actions
• Ensure compliance with SEC requirements, Internal Revenue Code Section 409A, and banking regulatory guidance
• Oversee change-in-control provisions, employment agreements, deferred compensation, and related arrangements
• Assist with governance and execution of equity compensation plans, including grant design, approvals, and administration
• Partner on compensation modeling and scenario analysis covering incentive payouts, equity dilution, cost impact, budgeting, forecasting, and accruals
• Monitor proxy advisor guidelines and emerging market trends
• Advise management on pay decisions, job evaluation, and policy and guideline interpretation
• Perform other duties as assigned
Demonstrates extensive expertise in executive compensation governance, SEC disclosures, and regulatory compliance, with a strong ability to advise senior leadership and Compensation Committees on complex compensation strategies. Proficient in managing compensation programs and ensuring alignment with financial reporting and regulatory requirements.
