Qualifications

  • Bachelor's degree in HR, Finance, Business Administration, or related field
  • Extensive compensation experience with deep expertise in executive compensation
  • Deep knowledge of executive compensation regulations, governance trends, and best practices
  • Experience preparing materials for Compensation Committees and Boards of Directors
  • Strong analytical and financial modeling skills
  • Exceptional attention to detail
  • Excellent communication and presentation skills
  • Strategic mindset balancing competitiveness, cost, risk, and shareholder alignment
  • MBA or advanced degree preferred

Responsibilities

  • Design, implement, and manage executive compensation programs
  • Lead base salary, annual incentive, long-term incentive, and special award programs
  • Ensure compensation programs are competitive, performance-driven, and aligned with shareholder interests and company strategy
  • Advise on compensation trends, emerging practices, regulatory changes, and proxy advisor perspectives
  • Develop and oversee executive compensation job evaluation, leveling, and approval processes
  • Prepare materials and analyses for the Compensation Committee and Board of Directors
  • Present executive compensation recommendations and governance updates
  • Support annual CD&A and executive compensation disclosures for proxy and SEC filings
  • Manage the Board compensation consultant relationship
  • Ensure compliance with SEC, IRS, stock exchange, and other regulatory requirements
  • Manage risk assessments, pay-for-performance reviews, and shareholder engagement materials
  • Partner with Legal, Finance, and Investor Relations on transparent disclosures
  • Oversee equity grant cycles, incentive plans, and retention awards
  • Lead competitive benchmarking using survey and peer group data
  • Collaborate with Finance on budgeting, forecasting, and accounting implications
  • Manage and develop a small team
