Job summary

Albemarle Corporation, based in Charlotte, NC, is hiring a Subsidiary Governance Manager. The role is hybrid (in-office 3 days/week) and focuses on domestic and international entity governance, corporate records, and filings.

Responsibilities

• Maintain global portfolio of subsidiaries, records, minutes, and org charts.
• Streamline governance activities using technology and process improvements.
• Oversee annual filings, statutory requirements, and related governance docs.
• Collaborate with Tax, Treasury, Legal, HR, and Commercial teams on entity matters.
• Manage governance vendors and external service providers.
• Develop and update subsidiary governance policies and training materials.
• Support broader governance matters including Board/Committee support and SEC/NYSE processes.

This position is hybrid and located in Charlotte, NC (in-office 3 days/week). The role will focus on domestic and international entity governance, corporate records, and subsidiary filings, with the opportunity to work cross-functionally and leverage technology to develop a best-in-class subsidiary governance function. The role also offers opportunities to gain exposure to broader corporate governance matters, including public company board and committee support as well as SEC and NYSE disclosure processes.

What You Will Do

• Maintain the Company’s global portfolio of subsidiaries, including corporate records, minute books, governance platforms, and organizational charts
• Use technology and identify process improvements to streamline subsidiary governance activities, improve transparency, and reduce administrative burden
• Manage global subsidiary governance activities, including annual filings, statutory requirements, and related governance documents, including resolutions, appointments, minutes, powers of attorney, and incumbency certificates
• Partner with Tax, Treasury, Legal, Human Resources, and Commercial teams on entity formation, dissolution, and simplification, service of process, guarantees, banking resolutions, KYC requests, and related matters
• Manage governance vendor relationships, including hCue, CSC, registered agents, outside counsel, and other service providers
• Develop, maintain, and enhance subsidiary governance policies, procedures, and training materials
• Assist, as needed, with broader corporate governance and public company matters, including Board and committee support, SEC and NYSE disclosure processes, and related governance projects

What You Bring

• Required: 5+ years of relevant subsidiary governance, entity management, corporate records, or corporate governance experience
• Self-starter with strong attention to detail, organizational, and communications skills, and the ability to manage multiple time-sensitive workstreams
• Experience using technology and governance vendors to efficiently manage legal entity records, subsidiary filings, and corporate documentation
• Experience or interest in broader public company governance matters, including support on Board of Directors, SEC, and NYSE items
• Must have a North Carolina Notary Public credential or obtain within 90 days of hire date
