Job summary

Focus Partners seeks a dedicated paralegal to support our Legal Department across corporate and transactional matters. You will draft documents, manage projects, and coordinate closings, providing essential support in a fast-paced setting.

The role requires at least five years of relevant experience, a bachelor’s degree or paralegal certification, and strong organizational skills. Base pay is competitive with benefits; the position is exempt and located in St. Louis, MO or New York, NY.

Qualifications

• Minimum of five years of relevant corporate/transactional paralegal experience.
• Strong understanding of corporate/transactional matters; investment adviser regulations and/or corporate secretarial responsibilities preferred.
• Bachelor’s degree, paralegal certification, or equivalent professional experience.
• Excellent organizational skills with ability to work independently and manage multiple projects.

Responsibilities

• Provide critical support in all stages of corporate transactions, including drafting documents, project management, and coordinating closing and post-closing deliverables.
• Draft or prepare a variety of legal documents and agreements, including commercial contracts, governance documents, resolutions/written consents, meeting minutes, and NDAs.
• Organize and maintain legal documents in an electronic document management system with accessibility and accuracy.
• Maintain corporate records and entity organizational charts, plus internal lists and records related to entity management and compliance.
• Assist with corporate filings, including formations, annual reports, qualifications, dissolutions, and name-change amendments.
• Support use of AI to improve processes and workflows.
• Assist the Legal Department with ad hoc legal tasks as needed.
