Job summary

LeoForce is seeking an associate to join its corporate practice, working on a broad range of complex transactional matters, including mergers and acquisitions, venture capital transactions, and general corporate advisory work.

You will play an active role in deal execution, from early-stage structuring and diligence through negotiation and closing, with direct client interaction and exposure to sophisticated transactions across various industries in a collaborative environment.

Qualifications

• 3 to 6 years of experience in corporate law at a law firm
• Experience with mergers and acquisitions and/or venture capital transactions
• Strong background in drafting and negotiating transactional documents
• Familiarity with securities law compliance and corporate governance matters preferred
• Demonstrated ability to manage multiple matters in a transactional environment
• Strong academic credentials and law firm training

Responsibilities

• Draft, review, and negotiate complex transactional documents for mergers, acquisitions, and financing activities
• Support all phases of corporate transactions, including due diligence, structuring, negotiation, and closing
• Advise clients on corporate governance matters and general corporate law issues
• Assist with venture capital financings and related investment transactions
• Manage and coordinate due diligence processes and transaction timelines
• Collaborate with internal teams and external stakeholders to execute transactions efficiently
• Assist with securities law compliance and related regulatory obligations
• Work directly with clients to provide practical, business-oriented legal advice
