Job summary

MGT Insurance seeks a Corporate Development Lead to own the full scope of strategic and transactional activity, including partnerships, M&A, capital raising, and market intelligence. Reporting to the CEO, this is the company’s first dedicated corporate development hire and a foundational leadership role.

You will manage bankers and lawyers, drive deal processes, and present analyses to the board. Compensation includes base salary, bonus, and equity, reflecting the strategic impact of this role.

Qualifications

• 8–15+ years across investment banking, private equity, or in‑house corporate development.
• Proven track record owning M&A transactions from origination through close.
• Direct experience negotiating with senior executives (CEO, CFO, GC) on deal terms and structures.
• Strong financial modeling skills: valuation, DCF, accretion/dilution, scenario analysis.
• Experience managing investment bankers, legal counsel, and external advisors.
• Exceptional written communication for board memos, deal summaries, and analyses.

Responsibilities

• Own M&A processes end-to-end: origination through LOI, diligence, docs, negotiation, and close.
• Lead strategic partnership negotiations including carrier agreements and MGA arrangements.
• Engage CEOs, CFOs, CLOs, and board members of target/partner orgs as primary counterparties.
• Negotiate term sheets, LOIs, NDAs, definitive agreements, and contracts with Legal.
• Lead capital raising: investor outreach, data rooms, diligence responses, term negotiation.
• Build financial models for opportunities: valuation, pro formas, capital structures.
