Job summary

GVW Group is seeking a seasoned General Counsel to translate the company’s vision into actionable legal strategies that safeguard the holding company and its portfolio businesses. This hands-on role demands strong judgment across corporate governance, regulatory compliance, and risk management while aligning legal outcomes with business objectives.

Based in Miami, FL or Birmingham, AL, you will lead contract negotiations, policy development, and the deployment of AI-enabled legal tools, ensuring

Qualifications

JD degree from an accredited law school.
Minimum of 20 years of legal experience, with significant corporate law experience.
Proven track record as a General Counsel or senior legal executive, preferably in a private holding company environment.
Extensive knowledge of corporate, commercial, and regulatory law.
Strong negotiation, communication, and interpersonal skills.
Ability to manage multiple projects in a fast-paced environment.
High ethical standards and professional integrity.
Hands-on experience leveraging AI tools and legal technology to improve operations.

Responsibilities

Provide counsel to the senior management on legal matters.
Develop and implement legal policies and procedures to mitigate risks.
Ensure adherence to financial regulations and compliance with securities laws.
Structure investment funds in compliance with legal and tax requirements.
Draft, review, and negotiate contracts and agreements across a wide range of partner/vendor arrangements.
Coordinate with external legal counsel and represent the company in legal proceedings.
Identify, assess, and mitigate legal risks across all portfolio companies.
Provide employment law support, including employee relations and compliance.
Lead AI-enabled legal tools governance to improve productivity, contract management, and compliance.
