A publicly traded advanced materials company is seeking a Corporate Counsel, Securities & Capital Markets to support SEC reporting, capital markets transactions, governance, and compliance initiatives. The role reports to the General Counsel and Deputy General Counsel and targets a candidate with strong securities law foundation.

Ideal applicants hold a JD with active US bar admission and 3–6 years of securities experience from top firms or in-house settings, with preference for Dallas-area

Qualifications

• JD required and bar admission in at least one US jurisdiction.
• 3–6 years of securities and capital markets experience in leading firm or publicly traded company.
• Experience preparing or reviewing SEC filings and securities law disclosures.
• Familiarity with Exchange Act reporting, Section 16 compliance, and corporate governance issues.
• Experience supporting registered offerings or private placements is a plus.

Responsabilités

• Assist with SEC Reporting & Public Company Compliance including 10-K, 10-Q, 8-K, proxy statements, and registration statements.
• Support capital markets transactions including equity offerings, debt financings, ATM programs, and private placements.
• Assist with corporate governance materials, resolutions, agendas, and minutes; support annual meeting and proxy season.
• Support insider trading programs, governance disclosures, and disclosure controls.
