Job summary

Ridgepost Capital seeks an Associate General Counsel, Corporate and Securities, to lead public company reporting, securities compliance, governance and executive compensation initiatives in Dallas. You will partner with finance, investor relations and senior leadership, manage board matters, and oversee equity programs while exploring the use of AI tools to increase efficiency in the legal function.

Qualifications

• J.D. from an accredited law school and bar in good standing.
• 10+ years in progressive legal roles, with in-house public company or financial services experience.
• Experience with Forms 10-K/10-Q/8-K and proxy statements.
• Strong drafting, negotiation and governance knowledge.
• Comfortable using AI tools to enhance legal workflows.

Responsibilities

• Lead public company reporting and securities compliance.
• Coordinate corporate governance matters and board support.
• Oversee equity programs and executive compensation disclosures.
• Manage financing transactions and treasury-related matters.
• Direct outside counsel and oversee legal spend.
• Collaborate with cross-functional teams on disclosure controls.
