A premier AmLaw 50 firm in Dallas seeks a Securities Regulation & Corporate Governance Associate Attorney to join its team. You will represent public companies, boards, and executive leadership on complex securities matters, governance and capital markets.

Ideal candidate has 5+ years of experience, a J.D. from an ABA-accredited school, and Texas bar admission or eligibility. The role offers hybrid work in Dallas with market-leading compensation and benefits.

Qualifications

• 5+ years of securities regulation and corporate governance experience at a national or international law firm.
• Experience advising public companies, boards of directors, board committees, executive officers, and corporate secretaries on securities law and governance matters.
• Strong knowledge of the Securities Exchange Act of 1934, SEC reporting requirements, stock exchange listing standards, and corporate governance best practices.
• Experience preparing and reviewing Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, registration statements, and other SEC filings.
• Experience advising clients on disclosure obligations, periodic reporting, ESG considerations, insider trading compliance, executive compensation disclosures, and shareholder engagement.
• Experience supporting capital markets transactions, mergers and acquisitions, public company transactions, and securities offerings from a securities law and disclosure perspective.
• Experience drafting board resolutions, governance policies, committee charters, and other corporate governance documentation.
• Strong drafting, analytical, negotiation, and client counseling skills.
• Ability to independently manage sophisticated public company matters while maintaining significant client interaction.
