Job summary

FormFactor, Inc. in Livermore, CA is seeking a Corporate Counsel to support review, drafting, and negotiation of a broad range of commercial agreements. This role will work with sales, procurement, supply chain, finance, IT, and engineering teams to facilitate business transactions while helping manage legal and business risk.

The successful candidate will have a J.D. from an ABA-accredited law school, active U.S.

Qualifications

• J.D. from an ABA-accredited law school is required.
• Active membership in good standing with at least one U.S. state bar.
• Minimum of 5 years of related experience with a Bachelor’s degree; or 3 years with a Master’s degree; or equivalent.
• Demonstrated ethics, discretion, and confidentiality in handling legal matters.
• Strong stakeholder management and negotiation skills; ability to advise non-legal teams.

Responsibilities

• Draft, review, and negotiate a wide range of commercial agreements, including master supply, sales, vendor, and NDAs.
• Advise business teams on contract terms, risk allocation, and negotiation strategy.
• Identify and implement process improvements across legal workflows and automation.
• Monitor regulatory developments affecting commercial contracting (export controls, trade compliance, IP).
• Advise on data privacy matters and compliance with GDPR, CCPA, and other laws.
• Support SEC reporting and public company compliance; assist with corporate governance.
• Assist with corporate development and M&A due diligence and post-closing integration.
• Manage pre-litigation matters and coordinate with outside counsel as needed.
