Job summary

FormFactor, Inc. is seeking a Corporate Counsel to support drafting, reviewing, and negotiating a broad range of commercial agreements. You will work closely with sales, procurement, supply chain, finance, IT, and engineering to manage risk and facilitate transactions.

The role involves advising on routine as well as moderately complex matters, collaborating with senior legal leaders, and helping improve processes with automation and templates.

Qualifications

• J.D. from an ABA-accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• 2–3 years of law firm experience (AmLaw 50 or equivalent preferred).
• Ethics: high personal standards of excellence and confidentiality.
• Emotional intelligence with ability to lead and collaborate.
• Growth mindset and curiosity to learn the business and dynamics.
• Strong attention to detail with high-volume matters.
• Excellent judgment balancing legal risk with business goals.
• Ability to work independently and communicate with non-legal stakeholders.
• Experience across general corporate matters or willingness to learn.

Responsibilities

• Develop proficiency with AI tools to improve efficiencies.
• Draft, review, and negotiate a wide range of commercial agreements.
• Advise on contract terms, risk allocation, and negotiation strategy with business teams.
• Identify process improvements across legal workflows and measure impact.
• Monitor regulatory developments affecting contracting in semiconductors.
• Advise on data privacy including GDPR and CCPA compliance.
• Support SEC reporting and public company compliance.
• Assist with corporate governance and entity management.
• Provide legal guidance to People Team on day-to-day employment matters.
• Manage pre-litigation matters and coordinate with outside counsel on active matters.
