Job summary

VaynerX, LLC is seeking a legal contracts professional to draft, review, and negotiate MSAs and SOWs for digital media and tech clients. You will serve as the primary contracts contact for cross‑functional teams, coordinate internal approvals, and leverage AI drafting tools to improve workflows.

The role requires a J.D. and NY bar admission, with hybrid in-office work and strong focus on efficient contracting and risk management.

Qualifications

• Experience drafting, reviewing, and negotiating commercial contracts (MSAs and SOWs).
• Background in agency, in-house legal, procurement, or law firm in digital media/advertising/tech.
• Strong understanding of common contract terms: scope, payment, IP, indemnification, liability cap, confidentiality, data protection.
• Interest in digital world, social media and emerging tech.
• Comfort with AI drafting tools and intake/ticketing platforms.
• Excellent written and verbal communication; ability to explain terms to non-legal colleagues.
• Strong organizational and project management skills for high-volume agreements.

Responsibilities

• Draft, review, and negotiate client SOWs, MSAs, NDAs, change orders, amendments, and related documents.
• Understand client MSAs to support efficient contract intake and drafting.
• Serve as contracts contact for project managers, finance, and other departments.
• Use AI-powered tools to draft, review, and compare contracts and provide feedback.
• Manage lifecycle from intake to signature, tracking status and obligations.
• Maintain and improve standard form agreements, templates, and playbooks.
• Escalate non-standard terms and high-risk issues to senior Legal.
