Primary Function of Position
The Sr M&A Integration Manager reports to the Director, M&A Integrations and partners with Business Development, Finance, and functional teams to lead multiple transactions concurrently across the full deal lifecycle. The role leads cross-functional diligence planning and integration program management from pre-signing through close, Day 1, stabilization, and transition to the long-term business owner. Working with functional diligence leads, this person helps develop the integration strategy and milestones, consolidates integration costs, anticipates dependencies, drives execution, and provides clear recommendations to senior leadership.
Roles and Responsibilities
- Lead cross-functional diligence across Finance, Tax, Legal, HR, Regulatory, Quality, Sales & Marketing, Service, Product, Engineering/R&D, Operations, Supply Chain, IT, Security, and other relevant functions.
- Use the transaction rationale to build a diligence plan with clear workstreams, questions, owners, deliverables, dependencies, and decision dates.
- Establish diligence governance and cadence; ensure functional teams have the information, access, and direction needed to complete timely, decision-quality assessments.
- Coordinate management meetings, seller interactions, functional deep dives, data requests, and follow-ups with deal leaders and functional diligence leads. Prepare functional leads for seller engagement while preserving their ownership of functional conclusions.
- Guide functional leads, individually and collectively, to synthesize findings into an integrated view of risks, opportunities, cost, timing, resources, readiness, and integration complexity.
- Help functional leads develop the integration strategy, key milestones, and coordinated outputs that inform the deal model, purchase agreement, closing conditions, Day 1 requirements, integration roadmap, and long-term operating model.
- Build and maintain integrated plans spanning pre-close, close readiness, Day 1, cutover, stabilization, hypercare, longer-term integration, and transition to business ownership, with clear owners, milestones, dependencies, resources, and decisions.
- Lead integration cost estimation by coordinating functional inputs, reconciling assumptions, dependencies, and timing, and consolidating one-time and ongoing costs for deal and leadership decisions.
- Develop TSA scope, SLAs, schedules, and cost estimates based on the integration strategy and coordinated input from cross-functional teams.
- Partner with Legal to translate business, operational, and transaction requirements into purchase agreement terms and closing conditions and related deal documents.
- Partner with IT and functional teams to plan and execute systems integration, testing, data and process cutovers, access, business continuity, and hypercare; align technology milestones with business requirements.
- Coordinate with change-management and functional teams on organizational readiness, employee communications, Day 1, cutover, stabilization, and hypercare to support the employee experience.
- Lead multiple transactions concurrently at different lifecycle stages. Maintain visibility to milestones, risks, capacity, decisions, and cross-deal dependencies; recommend sequencing, resource allocation, and escalation when conflicts arise.
- Drive owners to complete deliverables and decisions and hold stakeholders accountable without formal authority.
- Manage risks, issues, assumptions, dependencies, and decisions. Identify slippage early, assess downstream effects, establish recovery plans, and expand with a clear recommendation.
- Validate close‑critical and Day 1 readiness. Transition ownership to business and functional leaders with clear accountabilities, open items, measures, and governance.
- Prepare concise, decision‑oriented materials and present findings, readiness, risks, tradeoffs, options, and recommendations to executive sponsors, steering committees, and senior functional leaders.
- Build trusted relationships with sellers and acquired‑company leaders while representing Intuitive requirements, protecting confidentiality, and maintaining transaction discipline.
- Support continuous improvement of Intuitive’s M&A diligence and integration playbooks, toolkit, templates, decision frameworks, governance, and operating rhythms. Convert retrospectives and lessons learned into practical improvements.
- Guide functional workstream leads and colleagues in effective diligence and integration practices. Use approved AI and productivity tools to improve planning, synthesis, reporting, and portfolio visibility while protecting confidential information.
