Job summary

Turion Space is seeking an experienced Associate General Counsel to join its Legal Department in Irvine, CA. This high-impact, generalist role operates across corporate, commercial, finance and regulatory matters, with depth in satellite/space industry practice and U.S.

government contracting. You will draft and negotiate complex agreements, oversee government contracting matters (FAR/DFARS, ITAR/EAR), advise on corporate governance and financing matters, manage outside counsel, and help scale

Qualifications

• J.D. and active California bar membership required.
• 10+ years of relevant legal experience, with in-house and/or law-firm background.
• Substantial U.S. government contracting experience, including FAR/DFARS and ITAR/EAR.
• Strong commercial contracting background with technology, supply chain, and services agreements.
• Knowledge of Delaware corporate law and venture-backed governance.
• Ability to obtain US security clearance.

Responsibilities

• Advise business, engineering, and government teams on legal matters.
• Draft and negotiate commercial agreements, including supplier, teaming, NDAs, IP licenses, and customer agreements.
• Support U.S. government contracting matters, including proposals, OTA/FAR negotiations, and export controls under ITAR/EAR.
• Advise on regulatory licensing in space (FCC, NOAA) and related authorizations.
• Assist with corporate governance, board materials, and financing prep (Series C, IPO readiness).
• Support debt/equity financing transactions and M&A with outside GC leadership.
• Support compliance programs (CUI, CMMC, SOX-related) and privacy matters.
• Coordinate outside counsel across specialties to optimize resources.
• Help build internal legal processes, templates, and playbooks.
