Job summary

Orionplacement seeks a talented Mid-Level M&A Associate Attorney to join our New York team. This role represents sophisticated clients in public and private mergers and acquisitions, drafting and negotiating complex transaction documents, and guiding due diligence through closing.

You will manage transaction processes, coordinate teams across practice areas, and advise on governance and transactional considerations while developing your expertise within a renowned international law firm.

Qualifications

• Juris Doctor (J.D.) from an accredited law school.
• 5+ years of corporate M&A transactional experience at a law firm.
• Experience handling public and private mergers and acquisitions.
• Strong experience drafting, reviewing, and negotiating complex M&A transaction documents.
• Excellent transactional drafting, negotiation, analytical, and problem-solving skills.
• Ability to manage multiple sophisticated transactions and collaborate across practice areas.

Responsibilities

• Represent sophisticated clients in public and private mergers, acquisitions, and other strategic corporate transactions.
• Draft, review, and negotiate merger agreements, purchase agreements, and other complex transactional documents.
• Manage legal due diligence, identify transaction risks, and support deal structuring and execution.
• Assist with negotiating key commercial and legal terms throughout the transaction lifecycle.
• Coordinate transaction processes, documentation, and closings for complex M&A matters.
• Collaborate with attorneys across corporate, finance, tax, antitrust, and other practice areas.
• Advise clients on corporate governance and transaction-related legal considerations.
• Take ownership of meaningful deal responsibilities while continuing to develop your transactional expertise.
