Job summary

gpac is seeking a transactional attorney in San Diego to handle sophisticated business matters for national clients. The role requires strong contract drafting, negotiation, and risk management skills, with the ability to manage complex commercial agreements independently.

The ideal candidate has 5+ years of transactional experience and an active California Bar license, with a track record in drafting, reviewing, and negotiating complex contracts.

Qualifications

• 5+ years of transactional business law experience, or a mix of transactional and litigation with strong transactional foundation.
• Active California Bar license.
• Strong experience drafting, reviewing, and negotiating complex commercial contracts, including supplier agreements.
• Knowledge of risk allocation, indemnification, limitation of liability, and contractual risk management.
• Excellent writing, drafting, research, negotiation, and client relationship skills.
• Organized, self-motivated, and able to manage matters independently.
• Oil and gas transactional experience is a major plus.

Responsibilities

• Draft, review, and negotiate complex commercial contracts, including supplier agreements.
• Support M&A and other sophisticated business transactions.
• Identify contractual risks and negotiate terms involving indemnification, liability, and risk allocation.
• Conduct legal research and provide practical, business-focused guidance.
• Work directly with clients on high-level matters.
