Job summary

gpac is seeking a Transactional Attorney in San Diego, CA, onsite. The ideal candidate has 5+ years of transactional business law experience and a strong foundation in drafting, reviewing, and negotiating complex contracts, including supplier agreements.

California Bar membership is required, and the role may involve supporting M&A and other sophisticated business transactions. The position emphasizes identifying contractual risks, providing practical guidance to clients, and managing matters

Qualifications

• 5+ years of transactional business law experience or a mix of transactional and litigation experience with a strong transactional foundation.
• Active California Bar license.
• Strong experience drafting, reviewing, and negotiating complex commercial contracts, including supplier agreements.
• Knowledge of risk allocation, indemnification, limitation of liability, and contractual risk management.
• Excellent writing, drafting, research, negotiation, and client relationship skills.
• Organized, self-motivated, and able to manage matters independently.
• Oil and gas transactional experience is a major plus.

Responsibilities

• Draft, review, and negotiate complex commercial contracts, including supplier agreements.
• Support M&A and other sophisticated business transactions.
• Identify contractual risks and negotiate terms involving indemnification, liability, and risk allocation.
• Conduct legal research and provide practical, business-focused guidance.
• Work directly with clients on high-level matters.
