Job summary

Talnt is seeking an experienced Corporate Special Counsel specializing in Technology Transactions & Licensing to advise clients on IP, information technology, and commercial transactions. This senior attorney will structure, draft, and negotiate complex technology agreements, including software licensing, SaaS, cloud services, and AI-related arrangements.

Qualifications

• JD or LLM from ABA-accredited school.
• Active bar admission or eligibility for practice.
• 7+ years structuring, drafting, negotiating tech licensing.
• Strong IT transactions, IP commercialization experience.
• IP law knowledge with patents/trademarks/copyrights.
• Experience with M&A and financing where IP is involved.
• Familiar with SaaS, cloud, AI, cybersecurity, data-driven models.
• Experience with software-intensive industries.

Responsibilities

• Lead structuring, drafting, review, and negotiation of tech licensing and IP agreements.
• Draft and negotiate software licensing, SaaS, cloud, development, and distribution agreements.
• Advise on IP ownership, licensing rights, and commercialization strategies.
• Provide guidance on AI, digital platforms, and data-driven transactions.
• Support M&A, VC financings, and IP due diligence.
• Identify risks in patents, trademarks, copyrights, trade secrets, and tech.
• Negotiate with vendors, enterprise customers, developers, and partners.
• Advise executives and in-house teams on protections and commercialization goals.
• Collaborate across corporate, IP, privacy, cybersecurity, and regulatory teams.
• Manage multiple engagements with client service and responsiveness.
• Offer business-oriented contract interpretation, risk allocation, and indemnification.
• Stay updated on technology law and digital commerce developments.
