Red Cell Partners is hiring a mission-driven Senior Counsel: Tax & Structuring to optimize tax efficiencies across our funds, portfolio, and transactions. You will design and test structures, collaborate with internal teams, and brief outside counsel while driving practical, audit-ready tax outcomes.

You will lead complex tax planning from formation through exits, including QSBS, carry structures, and cross-border issues, reporting to the General Counsel and partnering with finance and legal

Qualifikationen

• J.D. and in good standing in a U.S. jurisdiction.
• 7+ years of tax experience in fund, entity, and transaction structuring.
• Experience on the tax side of M&A — transaction structuring, tax diligence, representations, covenants, indemnities, and post-closing tax obligations.
• Experience with the tax mechanics of venture financings — SAFEs, convertible notes, and priced rounds — plus QSBS planning, 83(b) elections, profits interests, and equity compensation structuring.
• Sound, independent judgment under deal pressure; capable of taking a position without upward approval.
• Team-oriented, high-energy, and proactive; you get things done and improve the work for others around you.

• Structure incubation vehicles and fund architectures to optimize tax efficiency across the portfolio.
• Pressure-test tax terms in agreements and advise on fund/feeder structures.
• Prepare internal memos for senior leadership and coordinate with outside counsel and accountants.
• Support cross-border structuring and QSBS, equity compensation, and exit tax considerations.
