Red Cell Partners, LLC. is seeking a Senior Counsel: Tax & Structuring to design tax-efficient vehicle structures and advise on complex fund, portfolio, and transaction tax matters.

You will collaborate with the general counsel, transactions team, and outside counsel to optimize outcomes and ensure compliant solutions across the portfolio. The role requires a strong track record in fund and deal structuring, QSBS, and cross-border considerations, with the autonomy to influence critical tax

Qualifikationen

• J.D. and currently licensed to practice and in good standing in the U.S.
• 7+ years of tax experience including fund, entity, and transaction structuring
• Experience on tax side of M&A — structuring, diligence, reps, covenants, indemnities
• Experience with venture financings — SAFEs, notes, priced rounds, QSBS planning
• Judgment under deal pressure, independent decision making
• Team-oriented, proactive attitude

• Structure tax-efficient vehicles for portfolio companies and funds.
• Advise on tax terms in financings, sales, and transactions.
• Coordinate with internal finance and external counsel on tax matters across the portfolio.
• Prepare internal memos for senior leadership and brief outside counsels.
