Job summary

MUFG is seeking an experienced structured products and securities law attorney to support ABS and CLO transactions across asset classes. You will advise on documentation, risk, and regulatory matters, coordinating with Compliance, Risk and business teams to drive timely execution.

The role requires a strong background in securitization, strong drafting and negotiation skills, and the ability to work in a fast-paced environment. Prior in-house experience is a plus.

Qualifications

• J.D. from an accredited law school and admission in good standing to practice law in New York.
• Minimum of six years of post-qualification legal experience, including at least four years at a leading law firm or investment bank.
• Experience advising on ABS and CLO transactions, including Rule 144A, Section 4(a)(2) and registered offerings.
• Experience with RMBS and CMBS transactions, including related financing, warehousing and capital markets transactions.
• Familiarity with U.S. securities laws and securitization regulatory framework.
• In-house experience at a financial institution is preferred but not required.

Responsibilities

• Serve as internal legal advisor on ABS transactions, including public and private securitizations, CLOs and related facilities.
• Review, draft and negotiate transaction documents and related materials.
• Identify and manage legal and regulatory risks in ABS/CLO structuring and disclosure.
• Advise on transaction structuring, asset eligibility, risk retention and regulatory requirements.
• Coordinate with outside counsel and internal teams to ensure alignment and timely execution.
• Support development of new products and platforms in structured finance.
• Monitor market developments and advise on implications for securitization.
• Assist with legal due diligence and asset-level issues in financing facilities.
• Provide training and guidance on securitization issues.
• Select and manage external counsel and legal spend.
