Job summary

The Toro Company, headquartered in Bloomington, MN, seeks a Senior Corporate Counsel to oversee securities law compliance, board governance, and financial reporting. You will manage 10-K/10-Q/8-K filings, earnings material, and insider-trading compliance while advising executives on material disclosures.

Responsibilities include coordinating with investor relations, treasury, and outside counsel, and guiding governance policies, board charters, and director onboarding.

Qualifications

• J.D. from an accredited law school and admission to a state bar in good standing.
• 10+ years of professional legal experience, ideally a mix of law firm and in-house public company work.
• Strong work ethic, results-driven, and practical problem-solving skills.
• Excellent written and verbal communication, integrity, and governance expertise.

Responsibilities

• Lead legal oversight of public-company reporting and disclosure obligations (10-K, 10-Q, 8-K, proxy materials).
• Advise management on materiality, controls, and significant developments requiring disclosure.
• Provide counsel for quarterly earnings releases and investor communications.
• Ensure compliance with SEC requirements and NYSE listing standards across filings.
• Lead governance processes for the Board and committees, including materials and minutes.
• Support the General Counsel in governance and corporate secretary duties.
