Transamerica is seeking a Senior Counsel – Securities to join its Corporate Legal Services team in New York. The role focuses on public company reporting, securities compliance, and capital markets, drafting and filing SEC disclosures in coordination with internal stakeholders.

Ideal candidate has extensive SEC experience, can navigate NYSE rules, and guide cross-functional teams through complex filings while maintaining high ethical standards in a fast-paced environment.

Qualifications

• JD from an ABA-accredited law school is required.
• Five years of relevant legal experience advising on securities law and SEC reporting.
• Licensed or eligible to practice in the applicable state.

Responsibilities

• Support preparation, review and filing of SEC filings (10-K, 10-Q, proxy, 8-K, S-3, S-8) to ensure compliance.
• Review earnings and investor communications materials and prepare supporting disclosures.
• Monitor developments in securities laws, NYSE requirements and SEC guidance.
• Coordinate Section 16 reports and insider trading compliance programs.
• Lead or participate in disclosure-process improvements, templates, and calendars.
• Manage debt financing, share repurchases, and other capital markets transactions.
• Direct and manage external law firms to meet deadlines and budgets.
• Provide independent legal advice in a fast-paced corporate setting.
