CyberCoders in New York, NY seeks a Corporate Securities Attorney with 5+ years of experience to join our growing practice. You will advise public and private companies on securities law matters, prepare and review SEC filings, and support governance and strategic transactions.

This role offers a hybrid schedule in New York with strong client interaction, direct partner access, and a collaborative culture focused on sophisticated securities, governance, and capital markets work.

Qualifications

• J.D. from an accredited law school.
• Active admission to the New York Bar.
• 5+ years of corporate securities experience in a law firm and/or in-house legal department.
• Strong experience preparing and managing SEC filings.
• Thorough understanding of public company reporting requirements and corporate governance matters.
• Experience supporting securities offerings and strategic transactions.
• Exceptional drafting, analytical, and client counseling skills.
• Ability to independently manage matters while collaborating effectively within a team environment.

Responsibilities

• Advise public and private companies on Securities Act and Exchange Act compliance matters
• Draft and review SEC filings, including periodic reports, current reports, proxy statements, registration statements, and Section 16 filings
• Counsel clients on corporate governance, board matters, disclosure controls, and compliance obligations
• Support capital markets transactions, including public offerings, private placements, and related due diligence
• Assist with mergers, acquisitions, and strategic corporate transactions involving securities and disclosure considerations
• Coordinate with auditors, underwriters, transfer agents, and other external advisors
• Monitor regulatory developments and provide practical guidance to clients and internal stakeholders
