Job summary

Bloom Energy seeks a Securities and Governance counsel to join our team in San Jose, CA. This on-site role reports to the Senior Director, Securities & Corporate Governance and focuses on SEC/NYSE compliance and governance matters, with involvement in equity/debt financings, acquisitions, and joint ventures.

The ideal candidate has a minimum of 10 years of related experience, including at least 5 years in a law firm; in-house public company experience and international exposure are preferred.

Qualifications

  • Minimum 10 years of legal work experience with a law degree from an accredited school.
  • At least 5 years of experience at a law firm.
  • In-house experience at a public company strongly preferred.
  • International experience desired.
  • Must be highly analytical with strong business and legal problem-solving skills.
  • Ability to counsel internal clients with clear, concise and pragmatic advice on timelines to meet business needs.

Responsibilities

  • Ensure compliance with SEC laws and NYSE rules; manage Sarbanes-Oxley and 1934 Act compliance and reports (10-Ks, 10-Qs, 8-Ks and proxy statements).
  • Collaborate with CFO, Investor Relations, Marketing, and Legal on disclosures and communications.
  • Advise on governance policies, procedures, and programs for a public company; counsel on equity/debt financings, acquisitions, divestitures, and JVs.
  • Draft, prepare, and review Board meeting materials and minutes.
  • Advise on international market expansion issues and risks.
  • Support stock administration and Section 16 filings; oversee subsidiaries.
  • Monitor external governance trends and SEC issues for best practices.

We are looking for a Securities and Governance counsel to join our team in one of today’s most exciting technologies. This role will report to our Senior Director, Securities & Corporate Governance and is based in San Jose, CA. This is a fully on-site, in office role 5 days a week.

Role and Responsibilities:
  • Ensure that the Company conducts its business in compliance with applicable SEC laws and regulations and NYSE rules; manage Sarbanes-Oxley and 1934 Act compliance and reports (10-Ks, 10-Qs, 8-Ks and proxy statements).
  • Work closely with Chief Financial Officer, Investor Relations, Marketing department, and other members of the Legal team on earnings releases, analyst/investor conferences, disclosure issues, shareholder proposals, press releases, and other corporate communications.
  • Participate in the design and development of corporate policies, procedures, and programs required for a public company and provide counsel and guidance on legal matters, regulatory interpretations, and on legal implications of all matters. This lawyer will also serve as a legal advisor on all corporate equity and debt financings, including acquisitions, divestitures, and joint ventures.
  • Keep abreast of ongoing governance and provide support on Board activities, including the drafting, preparation and review of Board of Director meeting materials and preparation of meeting minutes.
  • Provide legal advice, opinions and solutions regarding issues and risks relating to the on-going and expanding business into international markets.
  • Support the stock administration department on equity matters and employee education, including legal support of the trading window. Assist in the preparation and review of Section 16 filings.
  • Assist in oversight of maintenance of all foreign and domestic subsidiaries.
  • Stay up-to-date and keep Legal team advised on external governance trends, SEC issues, general legal issues and best practices.
Skills and Experience:
  • Minimum 10 years of directly related work experience with a bachelor’s and associated Law degree from an accredited law school required, with at least 5 years at a law firm.
  • In-house experience at a public company strongly preferred.
  • International experience desired.
  • Must be highly analytical and have exceptional business and legal issue identification and problem-solving skills.
  • Exercises independent judgment in techniques and evaluation criteria for obtaining results and creates informal networks involving coordination among groups and teams within and outside of functional work area.
  • Proven ability to implement policies and projects across an international organization.
  • Requires a practical, business-oriented approach to problem-solving; candidate must be able to effectively counsel internal clients by providing them with clear, concise and pragmatic advice, and creative solutions where necessary, on established timelines to meet their business needs.
  • Ability to multitask in a fast-paced environment.
  • Experience in a manufacturing and/or energy environment a plus.

FULL TIME ROLE ONLY: The total compensation for this position includes standard company benefits and is based on various factors including, but not limited to, relevant skills and experience.

Salary Ranges: $209,100.00 - $300,900.00
