Job summary

Crescent Energy is seeking a Corporate Counsel in Houston to provide expert counsel on securities law compliance, public company disclosure, and governance. The role partners with Finance, Investor Relations, Treasury, and executive leadership to support filings and transactions.

The attorney will lead SEC filing activities, manage governance issues, and advise senior management and the Board. Strong drafting, regulatory knowledge, and experience with upstream energy transactions are essential.

Qualifications

• JD from ABA-accredited law school
• Active admission to the State Bar of Texas, in good standing
• 4+ years of relevant corporate/securities law experience with upstream oil & gas companies

Responsibilities

• Lead preparation/review of SEC filings (10-K, 10-Q, 8-K, proxies)
• Ensure SEC/NYSE compliance and governance requirements
• Advise Board and executives on governance; prepare board materials
• Manage insider trading policy; file Section 16 filings; equity plans
