Job summary

Crescent Energy seeks a Corporate Counsel to join its Houston legal team, reporting to the General Counsel. The attorney will advise on securities law compliance, public disclosures, and corporate governance, serving as a business partner to Finance, Investor Relations, Treasury, and leadership.

Requirements include a JD from a top ABA law school, Texas bar admission, and 4+ years in corporate/securities law within upstream oil & gas, plus experience with EDGAR and governance systems.

Qualifications

• JD from a top ABA-accredited law school.
• Active admission to the State Bar of Texas.
• 4+ years of corporate and securities law experience with publicly traded upstream oil and gas.
• Experience with EDGAR and governance platforms (e.g., Diligent).
• Experience with high yield debt and public equity offerings for upstream energy companies.
• Experience reviewing and drafting filings under the Exchange Act (10-K, 10-Q, 8-K).
• Experience with Section 16 reporting.
• Experience with M&A transactions in upstream energy.
• Knowledge of the Securities Act of 1933, Exchange Act of 1934, Sarbanes-Oxley, Dodd-Frank, and SEC rules.
• Familiarity with NYSE listing standards and insider trading compliance programs.

Responsibilities

• Take primary role in preparation and review of SEC filings (10-K, 10-Q, 8-K, proxy statements) and other disclosures.
• Ensure compliance with SEC/NYSE rules and governance requirements.
• Advise Board and senior management on governance matters; assist with meeting materials.
• Administer insider trading policy; prepare Section 16 filings and equity incentive plan matters.
• Support securities offerings, debt financing, and M&A due diligence and documentation.
• Draft investor relations materials to ensure legal compliance.
• Prepare corporate documents: minutes, resolutions, certificates; maintain records.
• Oversee entity management and organization chart updates.
• Monitor SEC/NYSE developments and advise on best practices.
• Coordinate with outside counsel.
