Job summary

Shine Associates, LLC seeks a Senior Transaction Counsel to join its in-house legal team in Boston. You will serve as a trusted advisor on commercial real estate acquisitions, dispositions, financing, leasing, and joint ventures, drafting and negotiating a broad range of contracts and transaction documents.

Reporting to the General Counsel, you will coordinate with internal teams and outside counsel, manage complex deals under deadlines, and help govern entity structures and financing terms

Qualifications

• J.D. from an accredited law school and MA bar admission where applicable.
• Minimum of 5 years of extensive transactional commercial real estate experience.
• Extensive experience drafting, reviewing, and negotiating complex real estate contracts.
• Ability to manage multiple transactions independently under tight deadlines.
• Strong business acumen with ability to advance commercial objectives while managing risk.
• Exceptional written and oral communication skills for non-legal stakeholders.

Responsibilities

• Work closely with GC and internal teams on due diligence, structuring, and closing of acquisitions, dispositions, and recapitalizations.
• Review and negotiate purchase and sale agreements and related documents.
• Draft and negotiate a broad range of commercial contracts, including leases and vendor agreements.
• Oversee joint ventures, coinvestments, and entity formations and related agreements.
• Coordinate with lenders, outside counsel, and internal teams on financing transactions.
• Provide practical legal guidance to leadership on real estate and corporate matters.
• Manage outside counsel relationships and governance matters across the portfolio.
