Job summary

CSX Corporation in Jacksonville, FL is seeking an experienced attorney to review and draft real estate contracts, development agreements, easements, purchase and sale agreements, and leases; review title commitments and support documents; research local ordinances; attend planning and zoning meetings; defend title and other real estate actions; and provide overall support to the Associate General Counsel/Regulatory and Transactions and General Counsel.

Qualifications

• Juris-Doctorate degree required.
• 5+ years of commercial real estate attorney experience.
• US bar admission in good standing; ability to obtain FL Authorized In-House Counsel status.

Responsibilities

• Draft leases, purchase and sale agreements, development agreements, construction contracts, LOIs, deeds, etc., for commercial real estate transactions.
• Coordinate and direct the review and preparation of commercial leasing, acquisition and disposition documentation.
• Review real estate contracts to reflect business terms and legal standards.
• Review title and closing documents prior to closing.
• Support title review and defend or prosecute title matters as needed.
• Work with outside counsel on real estate litigation defense or prosecution.
• Attend planning commission and zoning meetings to represent CSX as needed.
• Consult with Real Estate team to determine business and strategic needs (acquisitions, disposals, etc.).
• Negotiate contracts with external parties.
• Coordinate closing processes and provide executable documents and escrow management.
• Provide legal counsel to internal departments on real estate matters to inform business strategies.
• Partner with external counsel on complex real estate matters and transactions.
• Conduct due diligence including title, survey, land use/zoning, and environmental risk assessment.
