Qualifications

• Paralegal degree or paralegal certificate required; substitution with a Bachelor's degree allowed.
• Five (5) years paralegal experience in a relevant discipline.
• Excellent interpersonal and relationship-building skills.
• Strong written and verbal communications skills.
• Excellent organizational and time management skills.
• Ability to multi-task and meet deadlines; interact with leadership.
• Experience with Microsoft Office Suite.

Responsibilities

• Manage or assist with domestic and international subsidiary matters, including formation and governance documents.
• Oversee filing of annual reports, taxes and foreign qualifications for subsidiaries.
• Prepare records for Board meetings and SEC filings such as 10-K and 10-Q.
• Draft and maintain legal documents for operations, including incumbency and delegations.
• Support merger and acquisition due diligence and closing procedures.
• Manage virtual data rooms.
• Provide timely responses and documents to departments and outside counsel.
• Assist in planning and tracking Securities & Corporate Law programs.
• Collaborate with all departments to ensure timely handling of legal activities.
• Respond to information requests and provide advice.
• Comply with laws/regulations and company policies.
• Perform other duties as required.
