Qualifications

  • Paralegal Degree or Paralegal Certificate from an accredited institution or at least three years of relevant work experience can substitute if candidate has a Bachelor's degree in a relevant discipline.
  • Five (5) years paralegal experience in a relevant discipline
  • Excellent interpersonal and relationship-building skills
  • Strong written and verbal communications skills
  • Excellent organizational and time management skills
  • Ability to multi-task and prioritize multiple assignments and meet deadlines
  • Ability to interact with all levels of leadership across FedEx Freight enterprise
  • Experience and ability to use Microsoft Office Software, including Word, Excel, and Outlook

Responsibilities

  • Manage or assist with domestic and international subsidiary matters, including formation, dissolution, conversion, drafting of governance documents and consents and maintenance of minute books
  • Oversee the preparation and filing of annual reports, franchise taxes and foreign qualifications for the company and its domestic and international subsidiaries
  • Assist with the preparation and organization of detailed records in support of Board meetings and SEC filings, including the proxy statement, Annual Reports on Form 10-K and Quarterly Reports on Form 10-Q
  • Draft and maintain legal documents in support of the company's business operations, including incumbency certificates, officer certificates and delegations of authority
  • Support merger and acquisition transactions, including due diligence and coordination closing procedures
  • Manage virtual data rooms
  • Provide timely responses and documents to requesting departments and outside agencies and assist outside counsel as requested
  • Assist in planning, organizing, administering, and tracking programs and projects handled by the Securities & Corporate Law team
  • Collaborate with all departments, as needed, to ensure timely handling and completion of the company's legal activities
  • Respond to requests for information and advice
  • Comply with all applicable laws/regulations, as well as company policies/procedures
  • Perform other duties as required
