Job summary

UGE International in New York is seeking a senior paralegal to support a high-volume transactional legal team, handling deal execution from LOI to closing across acquisitions, project financings, and real estate matters. The role offers autonomy, exposure to CLO and outside counsel, and the chance to shape processes as the platform scales.

Requirements include 8+ years in corporate transactions or real estate, paralegal certificate or bachelor’s, and a background in multi-party closings;

Qualifications

• 8+ years in corporate transactions, real estate, or project finance.
• Experience managing complex multi-party closings with minimal supervision.
• Familiarity with commercial real estate transactions (title, surveys, leases).
• Experience forming entities and maintaining governance/capital records.
• Ability to manage multiple deals in a fast-paced environment.
• Paralegal certificate or bachelor’s degree required.
• Bonus: renewable energy or infrastructure experience.

Responsibilities

• Coordinate all aspects of project acquisitions from due diligence to closing.
• Support project finance transactions including data rooms and CP checklists.
• Form and maintain SPVs across jurisdictions.
• Draft and manage real estate documents such as leases and easements.
• Coordinate with title companies, surveyors, counsel and agencies.
• Maintain corporate records and governance documents.
• Manage transaction timelines and post-closing obligations.
• Develop and improve internal legal templates and playbooks.
